Terms and Conditions


All information provided to The Sarjeant Co. Ltd. ("Sarjeant") will be kept in confidence and used by Sarjeant for reasonable purposes in connection with granting and considering credit and providing services and materials (i.e. credit evaluation, billing, customer service). Personal information will be governed by the Personal Information and Electronic Documents Act.

  1. These Terms & Conditions relate to an Application and Agreement for the supply of goods and services on credit and shall apply to any and all credit extended by Sarjeant.
  2. Applicant has authority to enter this agreement. Person signing has been authorized to execute this agreement for applicant.
  3. If the Applicant is a corporation, the applicant confirms that it has provided its full and correct name and the jurisdiction of incorporation. The applicant confirms that the applicant corporation continues to exist and is in good standing with the applicable regulations determined by the Ministry of the jurisdiction of incorporation, and will continue to exist and remain in good standing throughout the delivery of any supply under this agreement. The Applicant agrees that if the proper corporate name and jurisdiction are not provided, or the applicant corporation does not continue to exist or remain in good standing, that Sarjeant may claim repayment from the person signing this application.
  4. The information given in this Application is warranted to be true and accurate and is given primarily for the purpose of obtaining credit from Sarjeant. The applicant acknowledges that Sarjeant is relying on the information provided in deciding whether, and to what extent, to provide credit. The applicant consents to the collection and use of credit and/or personal information as may be required in connection with the credit being applied for or any renewal or extension thereof. The applicant consents to the use and to the disclosure of any trade information and personal information concerning the applicant to any credit reporting agency or to any person with whom the undersigned has, or proposes to have, financial relations.
  5. If credit privileges are extended, I/we agree to abide by the terms of sale establish by Sarjeant in relation to any such sale.
  6. The Applicant agrees to provide Sarjeant with full and accurate particulars of the location or project to which any materials or services provided by Sarjeant are used or intended.
  7. The applicant agrees to provide Sarjeant with a copy of any certificate of Substantial Performance published in relation to any project for which Sarjeant has supplied materials or services and has remained unpaid, upon becoming aware of any such certificate.
  8. I/we agree to pay interest charges on overdue accounts at the rate of 1.5% per month, 18% per annum, compounded monthly to an effective rate of 19.56% ($2.00 minimum) as shown on your Invoice/Statements.
  9. NSF cheques will be subject to a $15.00 charge.
  10. The undersigned hereby agrees to pay all accounts when rendered. On default, the undersigned agrees that all lawyer's and/or agent's costs of recovering the debt are also payable on a full indemnity basis.
  11. Failure to comply with these Terms and Conditions may result in cancellation of credit privileges.
  12. The granting of credit by Sarjeant does not obligate Sarjeant to provide material or services to the applicant. Sarjeant reserves the right to review the applicant's account status at any time and determine at its own discretion whether to supply and further materials or services. The applicant agrees that Sarjeant shall not be held responsible for any alleged damages caused by Sarjeant's decision not to supply materials or services, whether or not the applicant has reached the limit of their credit.
  13. The applicant agrees that if Sarjeant grants credit to a particular credit limit, that it may supply goods and services in excess of that limit at its discretion and that these terms and conditions will apply to all supplies at Sarjeant.
